Welcome to PandaNpc! These Terms of Service ("Terms") govern your access to and use of the services provided by PandaNpc Inc. ("PandaNpc", "we", or "the Company").

1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

You represent and warrant that you:

• Are at least 18 years old or have reached the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Are not prohibited from using our services
• Will comply with all applicable laws and regulations

2. Service Description

PandaNpc is an AI conversation assistant platform that provides the following services:

• Access to multiple large language models (ChatGPT, Claude, Gemini, etc.)
• Intelligent conversation and content generation
• Multi-modal interaction (text, images)
• Custom AI configuration
• Other related features and services

We reserve the right to modify, suspend, or discontinue any service at any time without notice.

3. User Accounts

To use certain features, you need to create an account. You agree to:

• Provide accurate, complete, and up-to-date information
• Maintain the accuracy of your account information
• Be responsible for all activities under your account
• Immediately notify us of any unauthorized use
• Not share your account credentials with others
• Not create false or misleading accounts

We reserve the right to refuse service, terminate accounts, or remove content.

4. User Conduct and Responsibilities

You agree not to:

• Violate any laws or regulations
• Infringe on the rights of others
• Upload malicious code or viruses
• Interfere with or disrupt the services
• Access systems without authorization

• Use the services for fraudulent or illegal activities

Violation of these rules may result in account suspension or termination.

5. Intellectual Property

The services and all related content, features, and technology are the proprietary property of PandaNpc, protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the services for personal, non-commercial purposes only.

You retain ownership of content you create or upload, but grant us a license to use that content to provide the services.

6. Paid Services

Certain features may require payment. Regarding paid services:

• All fees are denominated in US dollars
• Payments are processed through third-party payment processors
• Subscriptions will automatically renew unless canceled
• Refund policy applies to specific terms and conditions
• We reserve the right to change prices at any time
• You are responsible for all applicable taxes

Canceling a subscription does not automatically refund unused services.

7. Content and Data

Regarding your content:

• You are fully responsible for your content
• You warrant that you have the necessary rights
• We may review but have no obligation to review
• We can remove content that violates these Terms
• You grant us a license to use your content

Regarding AI-generated content:

• AI-generated content may be inaccurate
• You are responsible for verifying and using AI content
• We are not responsible for AI-generated content

8. Privacy and Data Protection

Your privacy is important to us. Our data collection and use practices are detailed in our Privacy Policy.

By using the services, you agree to:

• Our data collection practices
• Data may be stored and processed in different geographic locations
• We may use third-party service providers

We implement reasonable security measures but cannot guarantee absolute security.

• These third-party services have their own terms and policies
• We are not responsible for third-party services
• You use third-party services at your own risk
• We do not endorse third-party services

Third-party services include but are not limited to:

• AI model providers (OpenAI, Anthropic, etc.)
• Payment processors
• Analytics services

10. Disclaimers

The services are provided "as is" and "as available" without warranties of any kind.

We expressly disclaim all warranties, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability
• Error-free operation

We do not warrant that:

• Services will be uninterrupted or error-free
• Defects will be corrected
• Services are free of viruses or harmful components
• Results will be accurate or reliable

11. Limitation of Liability

To the maximum extent permitted by law, PandaNpc shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, or data
• Service interruption or unavailability
• Third-party actions
• Deletion or corruption of your content or data

Our total liability shall not exceed the amount you paid us in the past 12 months, or $100 (whichever is greater).

Some jurisdictions do not allow liability limitations, so these limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless PandaNpc and its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the services
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your content
• Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter.

13. Termination

We may terminate or suspend your account at any time for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activities
• Prolonged inactivity
• At our sole discretion

Upon termination:

• Your access rights will immediately terminate
• Your data may be deleted
• Certain provisions will continue to be effective
• You remain responsible for activities prior to termination

You may terminate your account at any time by contacting us.

14. Dispute Resolution

These Terms are governed by the laws of Wyoming, United States.

Any disputes should be resolved through:

1. First attempt resolution through friendly negotiation
2. If negotiation fails, through binding arbitration
3. Arbitration shall be conducted under American Arbitration Association (AAA) rules
4. Arbitration location is Wyoming
5. Arbitration award is final and binding

You waive the right to a jury trial and the right to participate in class actions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified through:

• Email notification
• In-service notification
• Website announcement

Continued use of services after modifications constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the services.

We recommend reviewing these Terms regularly.

16. General Provisions

Severability: If any provision is deemed invalid, the remaining provisions remain valid.

Entire Agreement: These Terms constitute the entire agreement between you and PandaNpc regarding the services.

No Waiver: Our failure to exercise any right does not constitute a waiver of that right.

Assignment: You may not assign your rights under these Terms; we may freely assign our rights.

Force Majeure: We are not responsible for events beyond our reasonable control.
