Welcome to PandaNpc! These Terms of Service ("Terms") govern your access to and use of the services provided by PandaNpc Inc. ("PandaNpc", "we", or "the Company").
1. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
You represent and warrant that you:
- Are at least 13 years old (or the minimum age of digital consent in your jurisdiction)
- If you are under 18 (or the age of majority in your jurisdiction), use the services only with the consent and supervision of a parent or legal guardian who agrees to these Terms
- Are not prohibited from using our services
- Will comply with all applicable laws and regulations
2. Service Description
PandaNpc is an AI conversation assistant platform that provides the following services:
- Access to multiple large language models (ChatGPT, Claude, DeepSeek, Gemini, etc.)
- Intelligent conversation and content generation
- Multi-modal interaction (text, images)
- Custom AI configuration
- Other related features and services
We reserve the right to modify, suspend, or discontinue any service at any time without notice.
3. User Accounts
To use certain features, you need to create an account. You agree to:
- Provide accurate, complete, and up-to-date information
- Maintain the accuracy of your account information
- Be responsible for all activities under your account
- Immediately notify us of any unauthorized use
- Not share your account credentials with others
- Not create false or misleading accounts
We reserve the right to refuse service, terminate accounts, or remove content.
4. User Conduct and Responsibilities
You agree not to:
- Violate any laws or regulations
- Infringe on the rights of others
- Upload malicious code or viruses
- Interfere with or disrupt the services
- Access systems without authorization
- Collect information about other users
- Use the services for fraudulent or illegal activities
- Abuse or excessively use service resources
- Reverse engineer or attempt to extract source code
- Create competitive services
Violation of these rules may result in account suspension or termination.
5. Intellectual Property
The services and all related content, features, and technology are the proprietary property of PandaNpc, protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the services for personal, non-commercial purposes only.
You retain ownership of content you create or upload, but grant us a license to use that content to provide the services.
6. Paid Services
Certain features may require payment. Regarding paid services:
- All fees are denominated in US dollars
- Any paid features are offered, billed, renewed, and refunded according to the terms presented at the point of purchase on the platform where you purchase them
- We reserve the right to change prices at any time, with notice where required
- You are responsible for all applicable taxes
Refund Policy (TokenPlan and Agent Cloud)
- The service starts immediately after purchase.
- Each payment, including each renewal, can be fully refunded if you contact support@pandanpc.com within 7 days of that charge and nothing was used during that billing period.
- "Use" includes any Token Plan quota and any Agent Cloud usage (included hours or overage). Once anything has been used, that payment is non-refundable.
- Purchases made through the Apple App Store are refunded by Apple under its own policies.
- EU/EEA/UK consumers: by completing the purchase you expressly request that the service start immediately and acknowledge that you lose your 14-day right of withdrawal once performance has begun. The 7-day refund for unused purchases still applies.
Subscriptions, Automatic Renewal and Cancellation
- Web subscriptions (TokenPlan) are billed monthly in US dollars through Stripe. They renew automatically each month at the price shown at purchase until you cancel.
- One-month purchases do not renew automatically.
- You can cancel at any time on the Membership page using "Cancel subscription". After you cancel, your benefits continue until the end of the paid period and no further renewal is charged. Refunds are handled only under the Refund Policy above.
TokenPlan
- TokenPlan includes a model-usage quota (credits) that resets every 7 days while your subscription is active, together with the device and session limits shown for your plan.
- When the quota is used up, further usage is charged to your account balance at the listed rates if you have balance. Without balance, requests stop until the quota resets.
- Unused quota does not carry over and has no cash value.
Agent Cloud
- Plans that include Agent Cloud include the running hours shown for the plan in each billing period.
- Running time beyond the included hours is prepaid hourly from your account balance. If your balance is insufficient, Agent Cloud is stopped.
- Agent Cloud may be stopped when it is not in use and starts again when you use it. Its disk is kept while your subscription is active.
- When your subscription ends, Agent Cloud stops immediately and its data is permanently deleted 15 days after the end of the last paid period. Resubscribe within that time to keep it, and back up anything you need.
- Use of Agent Cloud is governed by the Agent Cloud Acceptable Use Policy.
Right of Withdrawal (EU/EEA/UK Consumers)
Withdrawal information. You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day the contract is concluded. To exercise the right of withdrawal, you must inform us (PandaNpc Inc., support@pandanpc.com) of your decision to withdraw by a clear statement, for example an email. You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline, it is sufficient to send your communication before the withdrawal period has expired.
Effects of withdrawal. If you withdraw from this contract, we will reimburse all payments received from you without undue delay and no later than 14 days from the day we are informed of your decision, using the same means of payment you used, unless expressly agreed otherwise. You will not incur any fees for this reimbursement. If you requested that the service begin during the withdrawal period, you will pay us an amount proportionate to what has been provided until you informed us of your withdrawal.
Immediate performance. If you expressly requested at checkout that the service start immediately and acknowledged that you lose your right of withdrawal once performance begins, the right of withdrawal ends as described in the Refund Policy above, to the extent permitted by law.

7. Content and Data
Regarding your content:
- You are fully responsible for your content
- You warrant that you have the necessary rights
- We may review but have no obligation to review
- We can remove content that violates these Terms
- You grant us a license to use your content
Regarding AI-generated content:
- AI-generated content may be inaccurate
- You are responsible for verifying and using AI content
- We are not responsible for AI-generated content
AI Interaction and AI-Generated Content
- When you use chat, agents and other AI features, you are interacting with AI systems, not with a human. Replies, code, images and other outputs are generated by AI models.
- Content you share publicly may include AI-generated output. Do not present it as human-made where that would mislead others.
Reporting Illegal Content
- Public share links make content visible to anyone who has the link. To report illegal or abusive content, use the "Report this content" link on the shared page or email support@pandanpc.com, which is also our point of contact for authorities. We review reports and may remove content or restrict accounts.
8. Privacy and Data Protection
Your privacy is important to us. Our data collection and use practices are detailed in our Privacy Policy.
By using the services, you agree to:
- Our data collection practices
- Data may be stored and processed in different geographic locations
- We may use third-party service providers
We implement reasonable security measures but cannot guarantee absolute security.
9. Third-Party Services
Our services may integrate with or link to third-party services:
- These third-party services have their own terms and policies
- We are not responsible for third-party services
- You use third-party services at your own risk
- We do not endorse third-party services
Third-party services include but are not limited to:
- AI model providers (OpenAI, Anthropic, etc.)
- Payment processors
- Analytics services
10. Disclaimers
The services are provided "as is" and "as available" without warranties of any kind.
We expressly disclaim all warranties, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability
- Error-free operation
We do not warrant that:
- Services will be uninterrupted or error-free
- Defects will be corrected
- Services are free of viruses or harmful components
- Results will be accurate or reliable
11. Limitation of Liability
To the maximum extent permitted by law, PandaNpc shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, or data
- Service interruption or unavailability
- Third-party actions
- Deletion or corruption of your content or data
Our total liability shall not exceed the amount you paid us in the past 12 months, or $100 (whichever is greater).
Some jurisdictions do not allow liability limitations, so these limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless PandaNpc and its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the services
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your content
- Your negligence or willful misconduct
We reserve the right to assume exclusive defense and control of any matter.
13. Termination
We may terminate or suspend your account at any time for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent or illegal activities
- Prolonged inactivity
- At our sole discretion
Upon termination:
- Your access rights will immediately terminate
- Your data may be deleted
- Certain provisions will continue to be effective
- You remain responsible for activities prior to termination
You may terminate your account at any time by contacting us.
14. Dispute Resolution
These Terms are governed by the laws of Wyoming, United States.
Any disputes should be resolved through:
- First attempt resolution through friendly negotiation
- If negotiation fails, through binding arbitration
- Arbitration shall be conducted under American Arbitration Association (AAA) rules
- Arbitration location is Wyoming
- Arbitration award is final and binding
You waive the right to a jury trial and the right to participate in class actions.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified through:
- Email notification
- In-service notification
- Website announcement
Continued use of services after modifications constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the services.
We recommend reviewing these Terms regularly.
16. General Provisions
Severability: If any provision is deemed invalid, the remaining provisions remain valid.
Entire Agreement: These Terms constitute the entire agreement between you and PandaNpc regarding the services.
No Waiver: Our failure to exercise any right does not constitute a waiver of that right.
Assignment: You may not assign your rights under these Terms; we may freely assign our rights.
Force Majeure: We are not responsible for events beyond our reasonable control.
